Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Machine Path Industries website, APIs, inference services, and GPU infrastructure platform (collectively, the "Services") provided by Machine Path Industries ("Machine Path", "we", "our", or "us").

By accessing or using the Services, you represent that you are at least 18 years old and have the legal authority to agree to these Terms on behalf of yourself or your organization. If you do not agree to these Terms, do not access or use the Services.

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised date. Continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.

To access the API and inference services, you must create an account. You agree to provide accurate registration information and keep it current.

You are solely responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately through the Contact page if you suspect unauthorized access or a compromise of your credentials.

We may modify, suspend, or discontinue any part of the Services at any time. Where commercially reasonable, we will provide advance notice before discontinuing material functionality that you actively use. We reserve the right to modify pricing and payment terms with notice.

Access to the inference API and GPU infrastructure is billed based on usage. By using paid Services, you authorize Machine Path Industries to charge your payment method on file at the end of each billing period for all usage incurred during that period.

You are responsible for all fees and charges incurred under your account, including unauthorized use that results from your failure to safeguard your credentials. All fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement.

Accounts with past-due balances may be suspended. You may not close your account until all outstanding charges are paid in full.

The Services may provide access to open-source AI models. Each model is subject to its own license, which may impose additional restrictions on how you may use the model outputs commercially or for specific applications.

By using a model through the Services, you agree to comply with the applicable model license. Machine Path Industries is not responsible for your compliance with third-party model licenses. You are solely responsible for reviewing and adhering to the applicable license terms for each model you access.

You retain all intellectual property rights in the inputs you submit to the API ("Submissions") and in the outputs generated from your Submissions.

By using the Services, you grant Machine Path Industries a limited, non-exclusive right to process your Submissions through the inference infrastructure, and to retain them temporarily for debugging purposes as described in our Privacy Policy. We will not use your Submissions to train, fine-tune, or improve AI models, and we will not sell or share your Submissions with third parties, except as described in our Privacy Policy.

You represent and warrant that your Submissions do not violate any applicable law, third-party intellectual property rights, privacy rights, or these Terms. You are fully responsible for the content of your Submissions.

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, rules, and regulations, including export control laws. You will not use the Services in any way that infringes the rights of others or restricts or inhibits anyone else's use and enjoyment of the Services.

You shall not use the Services to: generate content that is illegal, constitutes child sexual abuse material (CSAM), facilitates violence or terrorism, or violates the rights of any person or entity.

You shall not attempt to reverse-engineer, decompile, disassemble, or discover the source code or underlying architecture of the Services or any non-open-source elements thereof.

You shall not use the Services to probe, scan, or test the vulnerability of any Machine Path Industries system or network, bypass authentication or security controls, or launch denial-of-service attacks or other disruptive actions.

You shall not exceed API rate limits or attempt to circumvent usage controls, resell or sublicense API access without written authorization, or use the Services in any way that creates an unreasonable burden on our infrastructure.

You shall not impersonate any person or entity, misrepresent your affiliation, or submit fraudulent payment information.

We may suspend or terminate your account and access to the Services at any time, with or without notice, for any breach of these Terms, non-payment, suspected fraud or abuse, or for any other reason at our sole discretion.

You may terminate your account at any time by notifying us through your account settings or the Contact page, provided that all outstanding charges are paid in full. Upon termination, your access to the Services will cease and your data will be handled per our Privacy Policy.

Provisions of these Terms that by their nature should survive termination — including sections on billing, intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

Machine Path Industries owns all rights, title, and interest in and to the Services, including the platform software, interfaces, branding, and all non-open-source elements. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your permitted purposes. This license terminates immediately upon any breach of these Terms or termination of your account.

Feedback you provide about the Services (suggestions, comments, recommendations) is granted to Machine Path Industries on a worldwide, royalty-free, perpetual, irrevocable basis for use in connection with the Services. This does not give you any ownership interest in the Services.

The Services may integrate with or provide access to third-party software, open-source models, APIs, and infrastructure components. Machine Path Industries is not responsible for third-party services or content not under its direct control. Your use of third-party components may be subject to additional terms imposed by those third parties.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MACHINE PATH INDUSTRIES EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

MACHINE PATH INDUSTRIES DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. AI MODEL OUTPUTS ARE GENERATED PROBABILISTICALLY AND MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VALIDATING MODEL OUTPUTS BEFORE RELYING ON THEM.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MACHINE PATH INDUSTRIES AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MACHINE PATH INDUSTRIES'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO MACHINE PATH INDUSTRIES FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF NO FEES WERE PAID, OUR LIABILITY IS LIMITED TO ONE THOUSAND DOLLARS ($1,000).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Machine Path Industries and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (1) your use of the Services; (2) your Submissions; (3) your breach of these Terms; (4) your violation of any law or the rights of any third party; or (5) your negligence or willful misconduct.

These Terms are governed by the laws of the jurisdiction in which Machine Path Industries is incorporated, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding individual arbitration. You and Machine Path Industries each waive the right to a jury trial and the right to participate in a class action or representative proceeding.

These Terms constitute the entire agreement between you and Machine Path Industries regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force.

Machine Path Industries may freely assign its rights and obligations under these Terms. You may not assign your rights or obligations without our prior written consent.

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

The Services may be subject to export control laws and regulations. You represent that you will not use or access the Services in violation of applicable export controls or sanctions.
